Terms and Conditions Policy for Muahadah Trading Company

By using the platform, you agree to comply with all the provisions of this policy outlined below, referred to later as the "Usage Policy." Muahadah Company ("the Company") has the right to modify or change this Usage Policy at any time it deems appropriate, and the user is bound by such amendments or changes whether they have been informed of them or not. If you do not agree to this Usage Policy, you must completely cease using the platform, refrain from submitting any requests, or participating in requesting any platform services and leave immediately.

Article One: Definitions

1. The Company: Muahadah Trading L.L.C.

2. The Electronic Platform: www.muahadah.com

3. Platform Services: Refers to the services or products displayed within the platform provided by the platform.

4. The User: A platform visitor or the owner of a personal account, whether they are an opportunity owner, investor, or other.

5. Investor: Someone who submits a request through the platform to purchase any share offered by entrepreneurs.

6. Entrepreneurs or Authorized Seller: Someone who offers a portion of their shares in an established company according to relevant regulations within the Kingdom of Saudi Arabia for sale to investors for a specific amount.

7. Commission: The amount the seller commits to paying the company, calculated from the total value of shares sold through the platform.

8. Usage Terms and Conditions Policy: The policy governing platform usage terms and conditions.

9. Platform Email: The company's email for receiving all inquiries and complaints, which is (info@muahadah.com).

10. Personal Information: Information related to an individual, including but not limited to: name, nationality, commercial registration, electronic identifier, contact numbers and addresses, bank account numbers, and other provided information.

11. Related Sites: Links, pages, or other sites owned or operated by a third party or parties other than the Company.

12. Third Party: Any party other than the platform or the user.

13. System or Systems: The collection of systems and regulations applicable in the Kingdom of Saudi Arabia.

14. Notice or Written Notice: Includes any written notice, whether through email messages, platform-approved communication software, or email via the numbers or email entered into the platform, or the usual written notice via addresses entered into the platform.

Article Two: Platform Operation Overview.

This platform is a platform that allows opportunity owners, who are shareholders of companies, to offer a portion or all of their owned shares for sale to interested buyers, according to the agreed amount between the parties, with the company receiving a percentage (4%) of the total sale value of their shares through the platform. The company also reserves the right to offer new services, update any services, or withdraw them, according to its discretion without any liability. The platform's role is limited to allowing opportunity owners to list and sell their shares through the platform. Therefore, the platform is not a entrepreneurs and investors of the shares sold by opportunity owners. Instead, the company provides a place for sellers and buyers to discuss and finalize transactions. Consequently, the contract formed when selling shares is solely between the entrepreneur and the investor. The company is not a party to this contract and bears no responsibility arising from or related to this contract, nor does it act as an agent for the seller. The seller is responsible for selling their shares and dealing with any investor claims or other issues arising from or related to the contract between the entrepreneurs or the investors.

Article Three: Electronic Correspondence

When using any of the platform's services or sending messages via email to us, you are communicating with us electronically. We will communicate with you electronically through various means, such as email, text messages, internal application notifications, publishing emails or correspondence on the platform, or through its other services such as our messaging center. For contractual purposes, you agree that all agreements, notices, disclosures, or other communications we send to you electronically meet any legal requirements that such communications be in writing unless applicable laws specifically require a different form of correspondence.

Article Four: Platform Registration and Account Creation.

The platform provides several methods for logging in or creating an account, and the user has full freedom to use any of these methods or all of them. During the registration process on the platform or any of its applications, if applicable, the user agrees to:

- Provide true, accurate, up-to-date, and complete information, and maintain the updating of this information to keep it true, accurate, up-to-date, and complete.

- Each user or any third-party bears responsibility or consequences resulting from any transactions when it is revealed that the information provided is not true, is false, involves identity theft, or any claim, or all transaction parties act contrary to reality or violate the regulations and laws applicable in the Kingdom of Saudi Arabia, without any liability on the company.

- The user agrees to access the platform through legitimate and lawful methods on the internet, and the company or its management bears no responsibility if the user acts otherwise.

- The user authorizes the company or the platform to request their registered information from government or private entities that assist the platform in its operations, and all such information obtained becomes the property of the company to be managed according to the regulations and laws applicable in the Kingdom of Saudi Arabia.

Article Five: Updating the Usage Terms and Conditions Policy

1. The platform's operations are subject to continuous change, so the Usage Terms and Conditions Policy may be affected and require changes that align with future circumstances. The current version of this Usage Terms and Conditions Policy will be published on the platform and will remain in effect since its publication on the platform or based on the date we specify as its effective date.

2. The user must regularly check the Usage Terms and Conditions Policy, and continuing to use the platform after any changes constitutes implicit consent to this Usage Terms and Conditions Policy in its modified form.

Article Six: Warranty

The entrepreneurs undertakes to warrant that the shares they offer for sale are owned by them or have been authorized by the rightful owner to offer them for sale through the platform. In case of any violation, the seller assumes all legal consequences, and the platform is completely released from any responsibility.

Article Seven: Liability

1. The user bears compensation for any damage or loss resulting from a breach of any clause in the Terms and Conditions Policy.

2. The platform management reserves the right to hold any party or entity liable and seek compensation for any harmful or destructive actions.

3. The user acknowledges full awareness that the company or the platform has the right to disclose user information whenever necessary to enforce this Terms and Conditions Policy or comply with the regulations and laws applicable in the Kingdom of Saudi Arabia or upon request from the competent judicial or executive authority.

Article Eight: Users' Responsibility to Comply with Saudi Arabian Regulations and Laws

The user acknowledges and commits to complying with all laws, regulations, and rules in the Kingdom of Saudi Arabia when using any of the platform's services.

Article Nine: Applicable Law and Disputes

1. These Terms and Conditions are subject to relevant regulations and laws applicable in the Kingdom of Saudi Arabia.

2. In case of any dispute regarding these Terms and Conditions, the competent courts in Riyadh have jurisdiction to hear and decide on it.

Article Ten: Invalidity

If any provision of this Terms and Conditions Policy is declared invalid or unenforceable, it does not affect the remaining terms and conditions. If a part of any clause in this Terms and Conditions Policy is deemed invalid, that part or clause is enforceable within limits that do not include what has been invalidated.

Article Eleven: General Provisions

1. This Terms and Conditions Policy, along with any other policies or agreements published by the company or the platform regarding platform usage, represents the rules governing platform usage. The platform alone is authorized to modify, add, or delete these terms.

2. The latest updated version of the Terms and Conditions Policy is always adopted as the primary reference when referring to the terms and conditions in any other context.

3. In case of any ambiguity, confusion, or lack of clarity in any text or clause of the Terms and Conditions Policy, the company alone is competent to interpret it, in accordance with the regulations and laws applicable in the Kingdom of Saudi Arabia.

4. The user must ensure that when making an announcement within the platform, they input relevant data such as commercial registration, company's unique number, and other licenses correctly. They must also notify the platform management in case of any errors or updates.

5. The user agrees that the company has the right to communicate with relevant authorities such as the Ministry of Commerce, the Zakat, Tax, and Customs Authority, and others to verify any sales, purchases, or transfers of ownership made by companies using the platform.

6. The Privacy Policy and the Terms and Conditions can be translated into any other language. In case of any ambiguity or confusion between the translated text and the Arabic text, the interpretation of the text shall be based on its meaning in the Arabic language.

7. If the investor is a foreigner, they are solely responsible for fulfilling the requirements of the Ministry of Investment.
